交易兩邊經計劃承諾按下列條件拍板：
TheundersignedSellerandBuyerhaveagreedtoclosethefollowingtransactionsaccordingtothetermsandconditionssetforthasbelow：

買方未在規則的功夫內開出斷定證，賣方有權發出報告廢除本公約，或接收買方對本公約未實行的十足或部份，或對所以蒙受的丟失提出索取賠償。

如買方提出索取賠償，凡屬品德疑義須于貨到手段港口之日起30天內提出，凡屬數目疑義須于貨到手段港口之日起15天內提出，對所裝貨色所提任何疑義于保障公司、汽船公司、其余相關輸送組織或郵遞組織所控制者，賣方不負任何負擔，
Incaseofqualitydiscrepancy，claimshouldbefiledbytheBuyerwithin30daysafterthearrivalofthegoodsatportofdestination，whileforquantitydiscrepancy，claimshouldbefiledbytheBuyerwithin15daysafterthearrivalofthegoodsatportofdestination.ItisunderstoodthattheSellershallnotbeliableforanydiscrepancyofthegoodsshippedduetocausesforwhichtheInsuranceCompany，ShippingCompany，otherTransportationOrganization/orPostOfficeareliable.
11.因為發新人力不行抵擋的因為，以致本合約不許實行，局部或十足商品耽擱交貨，賣方概不控制。本公約所指的不行抗力系指不行干涉、不許制止且不能克復的客觀情景。
TheSellershallnotbeheldresponsibleforfailureordelayindeliveryoftheentirelotoraportionofthegoodsunderthisSalesContractinconsequenceofanyForceMajeureincidentswhichmightoccur.ForceMajeureasreferredtointhiscontractmeansunforeseeable，unavoidableandinsurmountableobjectiveconditions.
12.評斷(Arbitration)：
因凡本公約惹起的或與本公約相關的任何爭議，即使計劃不許處置，應提交華夏國際財經交易評斷委員會深圳分會。依照請求評斷時該會其時實行的評斷準則舉行評斷。評斷判決是結果的，對兩邊均有牽制力。
AnydisputearisingfromorinconnectionwiththeSalesContractshallbesettledthroughfriendlynegotiation.Incasenosettlementcanbereached，thedisputeshallthenbesubmittedtoChinaInternationalEconomicandTradeArbitrationCommission(CIETAC)，ShenzheCommissionforarbitrationinaccordancewithitsrulesineffectatthetimeofapplyingforarbitration.Thearbitralawardisfinalandbindinguponbothparties.
13.報告(Notices)：
一切報告用___文寫成，并依照如次地方用傳真/電子郵件/快件投遞給各方。即使地方有變換，一方應在變換后___日內書面報告另一方。
